  • As a Social Enterprise Member of Social Enterprise Australia, you are entitled to appoint a proxy to attend and vote at the Members' Meeting on your behalf.

    What is a proxy?

    • A proxy is a person you authorise to attend the meeting and where you have voting rights, vote in your place.
    • A proxy does not have to be a Member of Social Enterprise Australia, but while acting as a proxy, they are required to comply with the Constitution, the rules of meeting procedure, and any lawful directions of the Chair.
    • You may appoint the Chair of the meeting as your proxy if you wish.

    How to appoint a proxy

    • Complete this Proxy form.
    • Write the name of the person you are appointing, or tick the box if you want the Chair to act as your proxy.
    • If you want to give specific voting instructions to the chair, mark “For”, “Against” or “Abstain” for each resolution. If you do not give instructions, your proxy may vote (or abstain) as they choose, subject to the rules in the Constitution. 
    • If you choose a proxy other than the Chair liaise with them to agree your approach to voting.
    • Sign the form.

    Returning your proxy form

    • Your completed proxy form must be submitted to Social Enterprise Australia at least 48 hours before the meeting (12pm AEST Monday 27 April).
    • By submitting this online form you are returning your proxy form. 

    Key points to note

    • A proxy can vote on a show of hands or on a poll, and may also demand a poll.
    • If you direct your proxy how to vote, they must follow your instructions. Your proxy may vote on procedural matters and amendments to resolutions even if not specifically mentioned in this form.
    • If you appoint the Chair as your proxy and you do not direct how to vote, the Chair may vote as they choose.
    • A proxy’s authority to speak and vote at the Member Meeting is suspended while the Member is present at the meeting.
    • A proxy appointment is also valid for any adjourned meeting.

  • *If you appoint the Chair as your proxy: You can either let them vote on your behalf as they see fit, or give them specific voting directions — in which case they must follow them. When you select Chair you wil see options for directing your vote.

    If you appoint someone else as your proxy: Liaise with them directly.

    If you wish to direct your proxy how to vote, mark the box “For”, “Against” or “Abstain”. If you do not direct, your proxy may vote or abstain as they choose, subject to the Constitution.

If you do not name a proxy, the Chair of the meeting may act as your proxy.
